Vendor Agreement

Version 2 · 28 August 2026. Plain language, no surprises.

Kairio is operated by DPSmart Software Solutions, a business registered in the Republic of Trinidad and Tobago. This agreement is between that business (“Kairio”, “we”) and you — the business opening a store, and each staff member you invite (whose actions on the platform count as yours). You accept it electronically, which under the Electronic Transactions Act of Trinidad and Tobago has the same effect as signing on paper. Staff accept the same document when they join; what they do in your store binds you.

What you are

You’re an independent business selling to your own customers. You’re not our employee, agent, franchisee or partner, and this agreement doesn’t create any of those. The sale contract for each order is between you and your customer; Kairio provides the marketplace, collects the customer’s payment, and settles you your share.

Opening a store

To sell you need a verified email, an approved application, accurate business details, and a payout destination — a T&T bank account or a WAM wallet — to be paid into. Keep those details current — we rely on them to pay you.

What you may sell

Anything lawful that fits the platform — except: anything illegal in Trinidad and Tobago (including drugs, weapons and ammunition, counterfeit or stolen goods), live animals, tobacco and vaping products, alcohol, adult content, prescription medicines, financial products (including gift cards and cryptocurrency), and raffles or lotteries. You’re responsible for holding any licence your goods or services require. We may remove any listing, or decline any category, where we judge it harms trust in the platform — we’ll tell you when we do.

Pricing and taxes

Your listed price is your full price, taxes included. Kairio doesn’t calculate, collect or remit taxes for you; filing what you owe is your business’s responsibility.

Our fees

The current fee schedule — commission rates by category and plan, the Premium subscription, payment and payout fees, and any penalties — is always visible in your dashboard under Plan & fees. Commission applies to your goods and services subtotal only; delivery charges are never commissioned. What you see there when an order is placed is what that order pays: fee increases take effect no sooner than 30 days after we notify you (by email and a dashboard notice) and apply only to orders placed after the effective date; decreases can apply immediately. A custom order keeps the commission rate that applied when you accepted it.

Getting paid

Kairio collects every customer payment and holds your share until the order’s protection window ends — your expected fulfilment time plus 3 days. What has matured is then paid out in a weekly settlement run, by bank transfer (TT$1.25 fee, deducted from the payout) or to your WAM wallet, to the payout destination on file in your dashboard. You’re responsible for keeping that destination accurate — a payout sent to the details you gave counts as paid. Money we hold for you from cash-on-delivery proceeds is part of the same balance and pays out the same way, subject to the minimum payout amount in the fee schedule.

Your balance, and our right of set-off

Fees, subscriptions, sponsored placements and AI top-ups are charged to your platform balance, which may go negative up to the credit floor in the fee schedule. If your balance is negative, we recover what’s owed from your share of future sales before settling you the remainder, and we may deduct amounts you owe us from any money we hold for you. Refunds to your customers are clawed back from your balance the same way, and your balance can go negative as a result. If you close your store, a negative balance is still owed, and money we hold for you is paid out once open orders and disputes are resolved.

The Premium plan is prepaid for 30 days at a time and isn’t refunded if you cancel — the plan simply runs to the end of what you’ve paid for. Downgrading to a lower plan locks that choice for 30 days.

Your obligations on every order

Accept a paid order within 24 hours — an unaccepted order auto-cancels, refunds the customer in full, and counts against you, including a cancellation penalty per the fee schedule (waived the first time). Fulfil within the time your listing promises. Describe items accurately, keep stock honest, and honour the booking, ticket and custom-order rules the customer terms promise your customers — including full refunds (with the payment fee) when a cancellation is your fault.

Disputes

When a customer opens a dispute, respond within the platform’s timelines. If you and the customer can’t agree, Kairio decides, and that decision is final within the platform. Fault matters: a dispute that’s your fault refunds the customer everything including the payment fee, at your cost.

Customer data

Order fulfilment shows you a buyer’s name, contact number and address. Use them only to fulfil that order. Don’t add buyers to marketing lists, contact them off-platform for anything beyond the order, sell or share their details, or keep them after you no longer need them. This obligation continues after your store closes.

Your content

You keep ownership of your listings, photos and store branding. You grant Kairio a licence to display and promote them on and off the platform (for example in marketplace pages, search results and sponsored placements) while you sell here. So the AI listing tools can work, listing text and images may be processed by our AI provider (currently Google); AI-drafted text is a draft — once you publish it, it’s yours and you’re responsible for its accuracy.

Your storefront is your store’s own page on kairio.co (kairio.co/store/your-store); the address remains ours. Store customisation must stay lawful and honest — no impersonating other businesses.

Suspension and closing

We may suspend or close a store that breaks this agreement, sells prohibited items, or harms trust in the platform — we’ll tell you why. You may close your store at any time. Either way, open orders must be honoured or refunded, the balance rules above apply, and the customer-data obligations survive.

Liability between us

Kairio provides the platform as it is, without warranty that it will be uninterrupted or fault-free. To the fullest extent T&T law allows, our liability to you in any 12-month period is limited to the fees you paid us in that period. You’re responsible for your products and services: if a third party brings a claim against Kairio because of something you sold, said or did, you’ll cover the costs and damages of that claim. Nothing in this agreement limits liability for death or personal injury caused by negligence, or for fraud.

Changes and the law

This agreement is governed by the laws of the Republic of Trinidad and Tobago and its courts. If part of it is unenforceable, the rest still applies. When we change this agreement you’ll be asked to accept the new version before continuing to use the dashboard; fee increases additionally carry the 30-day notice above.
